MiWave Terms of Use
These terms govern your use of MiWave, operated by Marc Holenstein and Anthony Cieslik, trading as Luma 2, in Switzerland (“we”). Luma 2 is a trading name and not a registered company, so your contract is with us as individuals, jointly. By creating an account or using MiWave you agree to these terms.

1. The service
MiWave is a mobile AI songwriting studio. You bring ideas, moods, or lyrics; MiWave helps shape an editable songbook with structure, arrangement, and production direction, and can produce a preview and a finished song from it. Features evolve, and quota limits, rate limits, and temporary suspensions of generation apply as shown in the app.
2. Your account
- You must be at least 16 years old to use MiWave. Songs are written by an AI system from whatever you ask it for, and MiWave does not filter the words it produces.
- Provide accurate information and keep your credentials safe.
- A verified email address is required before paid production features are used.
- You are responsible for activity under your account. You can delete your account at any time in the app.
3. MiWave Pro subscriptions
- MiWave Pro is offered as auto-renewing subscriptions (weekly, monthly, and six-month plans) purchased as in-app purchases through the Apple App Store. Apple’s payment terms apply to purchases.
- Prices are shown in the App Store before you buy. Subscriptions renew automatically through your Apple ID unless cancelled at least 24 hours before the end of the current period. Manage or cancel in your App Store settings or via MiWave’s Customer Center.
- Each plan includes a communicated number of production units per period. Weekly plans reset weekly; monthly and six-month plans reset monthly. Generations that fail for technical reasons and are not billed do not consume your units.
- We may adjust quotas for new subscriptions, but never in a way that unfairly removes access you have already paid for.
4. Your content, and the licence you give us
Your songbook content remains yours. We claim no ownership of the ideas, prompts, lyrics or production directions you write. We do not train any model on them, and we do not use them to advertise or promote MiWave. What the AI providers named in the app may do with content sent to them is governed by their own terms, not by ours — which is one of the reasons the consent screen names each of them before anything is sent.
You grant us a licence that is non-exclusive, worldwide, royalty-free, and limited to what running the service actually requires: storing your content, showing it back to you, and passing it to the AI providers named in the app so they can produce the song you asked for. It is worldwide only because those providers are, and it extends to them only to the same limited extent. It covers no other purpose.
That licence begins when you consent in the app and ends when the content is deleted — when you delete a song, or at the end of the recovery period after you delete your account. It does not survive your account, and we keep no right to use your writing afterwards.
You confirm that you hold the rights to what you submit, and that it does not infringe anyone else’s copyright, trade marks, personality or privacy rights. Do not paste in someone else’s lyrics and ask MiWave to build on them.
5. What you get in the finished song
We give you every right in the generated song that we are in a position to give. To the fullest extent we may, we assign to you, and otherwise grant you a perpetual, irrevocable, worldwide, royalty-free licence over, whatever rights we hold in the audio, lyrics and documents produced for you, exclusive as between you and us. You do not have to share them with us and we will not license them to anyone else. You do not need our permission to use, adapt, publish or distribute them, and we will not charge you again for doing so.
What we cannot give you, and will not pretend to. The music is produced by ElevenLabs, and we cannot grant you more than ElevenLabs grants us. What you may lawfully do with a finished song — commercial release in particular — is governed by that provider’s own terms as well as these. Separately, whether machine-generated output attracts copyright at all is unsettled in many countries, and in some it plainly does not. So:
- We make no representation or warranty that a generated song is copyrightable, that you own copyright in it, that it is free of third-party rights, or that it may be exploited commercially in your country.
- Similar inputs can produce similar results for different users. Nothing we grant can make a song exclusive to you in fact, and no assignment above should be read as promising that it is.
- Take legal advice before commercial release, and check the current terms of the providers named in the app. This is the one part of these terms where the honest answer is that it depends on somebody else.
6. Acceptable use
- You must not use MiWave to create content that is unlawful, infringing, defamatory, privacy-violating, sexually explicit involving minors, or that promotes violence or hatred, and not in ways that violate the usage policies of Apple, OpenAI, Anthropic, or ElevenLabs.
- You must not abuse, overload, reverse engineer, or attempt to extract provider models from the service, or resell raw generation capacity.
- We may suspend accounts that create risk, cost, or legal exposure for us or others.
7. Availability and third parties
Generation depends on third-party AI providers and infrastructure we do not control. Availability, speed, and quality may vary; production can fail, in which case the associated units are not consumed. We may pause generation globally for incidents when necessary.
8. Disclaimers and liability
The service is provided “as is” without warranties to the extent permitted by law. To the extent permitted by law, our aggregate liability is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages, or for how you use generated output.
9. Termination and changes
You may stop using MiWave and delete your account at any time. We may suspend or terminate accounts for material breaches of these terms. If we change these terms materially, we notify you in the app or by email before the change takes effect.
10. Governing law
These terms are governed by the substantive law of Switzerland, with the exclusion of its conflict-of-law rules and of the United Nations Convention on Contracts for the International Sale of Goods. Because Luma 2 is a trading name with no registered seat, the ordinary courts at our place of residence in Switzerland have jurisdiction, to the extent the law permits us to agree that.
If you use MiWave as a consumer, this does not deprive you of the protection of any mandatory provisions of the law of the country where you live, and you may also bring proceedings there. Consumers resident in the EU or EEA can additionally use the European Commission’s online dispute resolution platform at ec.europa.eu/consumers/odr. We are not obliged, and are not willing, to take part in dispute resolution proceedings before a consumer arbitration board.
